The following Terms and Conditions (the “Agreement”) are entered into by and between You (“Customer” or “You”) and CLP Ventures, LLC dba Carol Parker Walsh Consulting Group, LLC (“Company,” “We,” or “Us”). By accessing or using any of Our websites, services, products, or programs (collectively, the “Sites”), including without limitation the Maxwell DISC Assessment (the “Product”), You agree to be bound by these Terms and Conditions, as well as Our Terms of Use and Privacy Policy, which are incorporated herein by reference.


1. THE PRODUCT

Maxwell DISC Assessment

The Company agrees to provide You with access to the Maxwell DISC Assessment (“Product”), which includes a digital assessment and a 30-minute analysis session with Dr. Carol Parker Walsh (collectively, the “Services”). You understand that the Maxwell DISC Assessment and accompanying report are designed to increase self-awareness regarding Your behavioral, communication, work, and motivational styles and that no specific outcome is guaranteed.

Product Details:

  • Online DISC Assessment: Access to an interactive online assessment.
  • Personalized Report: A customized summary detailing Your strengths, communication style, work style, and potential areas for growth.
  • 30-Minute Debrief & Analysis Session: A one-on-one consultation with Dr. Carol Parker Walsh to interpret Your results and discuss strategies for personal and professional development.
  • Additional Materials or Sessions (If Offered): From time to time, We may provide bonus resources, training modules, or extended coaching sessions alongside Your purchase.

Other Products, Programs, Courses, Guides, or Resources

In addition to the Maxwell DISC Assessment, We may offer various other products, programs, courses, guides, or resources aimed at enhancing your leadership, communication skills, career growth, or personal development. These offerings may vary in scope, duration, pricing, and format (such as digital downloads, online workshops, or live coaching sessions). All purchases of and participation in these additional services are also subject to these Terms and Conditions. You understand that no outcome or specific result is guaranteed for any of our offerings, and results may vary based on individual commitment and circumstances.


2. EFFECTIVE DATE

This Agreement shall commence and be enforceable when You purchase the Product. Your purchase date (“Effective Date”) is the date on which you are granted access to the Product.


3. TERMS OF USE & PRIVACY POLICY

The Company’s Terms of Use and Privacy Policy are hereby incorporated by reference into this Agreement. Except as modified by this Agreement, each of those policies shall apply fully to You. In the event of a conflict between any of those policies and this Agreement, this Agreement shall govern.

You can find Our current Terms of Use and Privacy Policy on Our Sites. We reserve the right to modify these terms at any time, so please review them periodically for changes. By using Our Sites after any changes are posted, You agree to accept those changes, whether or not You have reviewed them.


4. FEES & PAYMENT

In consideration for your access to the Product and Services, You agree to pay a one-time fee of $497. Payment must be made in full before You are granted access.

Coupons & Other Discounts

Occasionally, we may offer coupons, special promotions, or other discounts on Our products and programs. If You purchase using a coupon or during a promotion, You agree to pay the fees displayed at checkout. All other provisions of these Terms and Conditions shall apply to such purchases without change.


5. NO REFUNDS

All sales are final, and the Company does not offer money-back guarantees for the Product or any of Our other products or services. You recognize and agree that You shall not be entitled to a refund under any circumstances.

To the extent You reside in a jurisdiction that provides a “cooling-off” period by law, You acknowledge and agree that accessing the Product forfeits any rights You might have under such a cooling-off period.


6. OWNERS AND COLLECTORS OF INFORMATION

These Terms of Use apply to Your use of all Sites and services owned, hosted, or operated by CLP Ventures, LLC dba Carol Parker Walsh Consulting Group, LLC (collectively, “We,” “Us,” or “Our”). It also applies to any additional websites We may own or operate in the future, including social media accounts (collectively, the “Sites”). This Agreement does not apply to unaffiliated Sites that We link to or direct You to, and We are not responsible for the content or policies of those third-party Sites.

7. RESTRICTIONS ON USE

All content on the Sites is protected by copyright and other intellectual property laws and is the property of Dr. Carol Parker Walsh, CLP Ventures, LLC, or Carol Parker Walsh Consulting Group, LLC, unless otherwise noted. You may use the materials for personal, noncommercial use only. You may not copy, modify, distribute, display, or commercially exploit any material without our written consent.


8. LINKS TO THIRD-PARTY SITES

These Terms apply only to Our Sites and not to third-party Sites or organizations. We are not responsible for the content, advertising, products, or other materials available through third-party Sites, and We will not be liable for any loss or damage caused or alleged to have been caused by Your use of third-party content, goods, or services.


9. SUBMISSIONS

By submitting any comment, post, image, video, or other contribution through Our Sites, services, or programs—including but not limited to the Maxwell DISC Assessment, Program Materials, or forums—you confirm that You own or have the rights to such materials and that You are at least 18 years of age. You grant Us and Our authorized representatives a royalty-free, perpetual, irrevocable license to use, modify, and distribute these materials in any form or medium without further permission or compensation to You.


10. MEDIA RELEASE

By participating in Our programs and Services, including the Maxwell DISC Assessment, You agree that We may capture Your likeness, voice, or statements in photographs, videos, or audio recordings. We reserve the right to use these materials for promotional, marketing, or educational purposes without compensation to You now or at any time in the future.


11. FORUMS

A “forum” includes blog comments, message boards, chat rooms, user reviews, or other interactive services on Our Sites. You may need to register to participate. You agree not to post any unlawful, harassing, defamatory, obscene, or otherwise objectionable content, and You will not use any forum commercially without Our prior written permission. We reserve the right to remove or edit any content at Our sole discretion.


12. ERRORS AND OMISSIONS

We make no warranty or guarantee regarding the accuracy, timeliness, or completeness of the information provided in Our Programs, Products, Services, or Program Materials. Scientific and social research constantly evolves, and information may change over time. We are not liable for any inaccuracies or errors to the fullest extent permitted by law.


13. REGISTRATION

We may suspend or terminate the registration of any user who violates these Terms or the forum guidelines or engages in behavior We deem inappropriate.


14. DISCLAIMERS

All information, services, products, and materials on Our Sites, including the Maxwell DISC Assessment, are provided on an “as is” basis without warranties of any kind, either express or implied. We do not warrant that the Product will be error-free or that any defects will be corrected. You assume the entire cost of any necessary servicing, repair, or correction from using the Product or Sites.

We do not endorse, warrant, or guarantee third-party writers, speakers, products, or services. We are not a party to any transaction between You and a third-party provider of products or services.


15. LIMITATION OF LIABILITY

To the fullest extent permissible by applicable law, We are not liable for any direct, indirect, incidental, consequential, or special damages arising from or relating to Your use of the Product or the Sites. In no event shall Our total liability to You for all damages, losses, and causes of action exceed the amount paid by You for accessing the Product or the Sites.


16. NO PROFESSIONAL ADVICE

The Product and any related materials or information are only intended for educational and informational purposes. They are not a substitute for professional advice from lawyers, accountants, medical professionals, or mental health counselors. You are solely responsible for Your decisions and actions, and You agree not to hold Us liable for any outcomes resulting from using or misusing the information provided.


17. EARNINGS DISCLAIMER

We do not guarantee results or earnings from using Our Products or Services. Any financial or professional success depends on factors beyond Our control and is not guaranteed by the Company.


18. PARENTAL PERMISSION

Our Sites and Services are not intended for children under 13, and We do not knowingly collect personally identifiable information from children under 13. If We learn that a child under 13 has provided personal information without parental consent, We will delete that information. If You are under 18, You may need parental consent for specific content or purchases.


19. CONFIDENTIALITY AND NON-COMPETE

All tools, strategies, materials, and intellectual property presented on Our Sites or in Our Services, including the Maxwell DISC Assessment, are proprietary. You agree not to record, duplicate, distribute, or teach from these materials without Our express written permission. These Terms and any disputes arising from them shall be governed by the laws of the State of Washington without regard to any conflict-of-law provisions. Any dispute shall first be subject to mediation in the State of Washington. If mediation fails, the dispute shall be submitted to binding arbitration or a court of competent jurisdiction in Washington at Our discretion. If any provision of these Terms is deemed unlawful, void, or unenforceable, that provision shall be severable and will not affect the validity of the remaining provisions. These Terms may be modified only by Our posting of changes to these Terms on the Sites.
